1. Agreement to Terms

By accessing or using the website at acqly.app, the Acqly web application located at acqly.app/app, or any associated services provided by Knovik LLC ("Acqly", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are entering into these Terms on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Platform & Services

Acqly provides AI-driven B2B prospecting, target market segment creation, business signal decoding, technical website auditing, and CRM routing automation ("Services").

We reserve the right to modify, enhance, or discontinue any feature or capability of the Platform at any time with or without prior notice, provided that material changes to active paid subscriptions will be communicated to the organization administrator.

3. Account Registration & Workspace Security

• You must provide accurate, current, and complete registration details when creating an Acqly workspace account.
• You are responsible for safeguarding your login credentials (including passwords and OAuth tokens) and for any activities or actions under your account.
• You must immediately notify Acqly of any unauthorized use of your account or security breach.

4. Acceptable Use & Conduct

When using Acqly, you agree that you will NOT:

• Use the Platform to transmit unsolicited commercial communications in violation of applicable laws such as CAN-SPAM, GDPR, or ePrivacy directives.
• Scrape, index, or harvest data from Acqly beyond authorized API usage or UI parameters.
• Attempt to reverse engineer, decompile, or disassemble any part of the Acqly AI lead generation engine.
• Use the Services to market deceptive, illegal, or fraudulent offers to third parties.
• Upload malicious code, viruses, or exploit vulnerability vectors in our software or connected CRM integrations.

5. Subscriptions, Billing & Cancellations

Certain features of Acqly are offered on a paid subscription basis ("Subscription Plans"). Payments are processed securely via Stripe.

• Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual basis.
• Automatic Renewal: Unless canceled prior to the end of the current billing cycle, your subscription will automatically renew under the same terms.
• Cancellation: You may cancel your subscription at any time through your workspace Billing Settings. Upon cancellation, your access continues through the end of your current paid billing period.
• Refunds: Except where required by law, paid subscription fees are non-refundable.

6. Data Ownership & Privacy Compliance

You retain all rights and ownership over your organization data, including segment criteria, suppression lists, claim templates, and CRM connection credentials.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Acqly and Knovik LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Services.
